Important Information for New Jersey Residents

If you live in New Jersey, any dispute between you and SOVA Health Intelligence, LLC will be governed by the laws of the State of New York. Certain limitations on implied warranties or damages set forth below may not apply to you under New Jersey law.

International Users

Our Site is controlled, operated, and administered from our offices in New York, United States of America. If you access the Site from a location outside of the United States, you are responsible for compliance with all local laws.

Governing Law

These Terms and any action relating thereto will be governed by the laws of the State of New York.

IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE AMOUNTS YOU HAVE PAID OR OWE FOR PRODUCTS PURCHASED VIA THE SITE IN THE LAST TWELVE (12) MONTHS.

Limitations of Liability

TO THE EXTENT PERMITTED BY LAW, NEITHER SOVA HEALTH INTELLIGENCE, LLC NOR OUR AFFILIATES WILL BE LIABLE FOR ANY CLAIMS, LOSSES, OR DAMAGES (INCLUDING COMPENSATORY, INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES), HOWEVER CAUSED, ARISING IN CONNECTION WITH (I) THE SITE; (II) YOUR USE OR INABILITY TO USE THE SITE; (III) RELIANCE ON ANY CONTENT; (IV) THE PURCHASE OR USE OF ANY PRODUCTS; OR (V) ERRORS OR SERVICE INTERRUPTIONS. OUR LIABILITY WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU IN THE LAST TWELVE (12) MONTHS.

Termination

We reserve the right, without notice and in our sole discretion, to terminate your ability to use the Site and to block and prevent future access.

Dispute Resolution

Agreement to Arbitrate and Waiver of Class Actions: Any dispute arising out of or relating to these Terms will be settled by confidential binding arbitration, except that each party retains the right to bring an individual action in small claims court or seek injunctive relief. You acknowledge and agree that both you and SOVA Health Intelligence, LLC are waiving the right to a trial by jury or to participate as a class representative or class member in any class action proceeding.

The arbitration will be administered by JAMS (available at www.jamsadr.com or 1-800-352-5267). The arbitration will be conducted in the county where you reside. Any cause of action must be commenced within one (1) year after the dispute arises.

Right to Opt-Out of Arbitration

You may elect to opt-out from the binding individual arbitration procedure by sending a written letter via nationally recognized overnight courier to the attention of SOVA Health Intelligence within thirty (30) days of your first visit to and use of the Site.

General Terms

These Terms constitute the entire and exclusive understanding between SOVA Health Intelligence, LLC and you regarding the Site, Content, products, and services. You may not assign or transfer these Terms without our prior written consent. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
